Terms and Conditions for business between The Colour Red Limited and all purchasers relating to all transactions between The Colour Red Limited and the purchaser, unless otherwise agreed in writing prior to the transaction taking place.

Explanation and Definitions

Any words here below referring to us, we, ours means the supplier The Colour Red Limited and any words here below referring to you, yours or yourself means The Purchaser who is defined as the person or company (whichever is most relevant) making the transaction.

Acceptance of Order

The Colour Red Limited is not legally required or obliged to accept any order and therefore an order can only be deemed to be officially accepted by us once we have responded in writing to state that we will do so or once all or part of the goods have been dispatched. If you order was placed and paid for in advance and we choose not to accept the order for any reason then we will refund you in full within 28 days of your order. Once we have accepted your order these terms and conditions only shall govern the terms upon which our supply takes place unless otherwise prior agreed by us in writing. All orders accepted are accepted with the stipulation that our terms and conditions supersede any terms and conditions specified by you the purchaser on your purchase order or by any other means provided by you. If we accept your terms and condition then it will be agreed in writing prior to or at the time of us accepting your order.

Product & Information Alterations

We hold a suitable stock level of all or most of the actual products that we advertise but on certain occasions for one reason or another we reserve the right to alter the product to an equivalent or better product or to withdraw or recall a product without notice or liability. This also means that we reserve the right to substitute goods within your order for goods of an equivalent or better standard however this does not effect your returns rights if you do not wish to accept the substituted goods then the products must returned to us within 7 days of receipt, in line with our Return's Policy.

Returns Policy and Cancellations

We supply all goods to the highest standards and the highest quality, goods are quality inspected on arrival to our distribution centre and usually quality checked again when they are packed for dispatch to you and thus we are confident of our quality. We will however accept returns for any reason provided they are made within 7 days of the delivery date but if we feel that the reason for the return is unreasonable or not due to any part of the product or service provided by us the we reserve the right to charge a restocking fee of up to 20% of the nett order value.

A purchaser who cancels an order or who receives an order and wishes to return it, must inform us in writing within 7 days of the delivery date and we will arrange collection. You must ensure the goods are properly prepared for collection. We will refund you the full invoice amount less any restocking fee within 28 days of receiving the goods, subject to satisfactory inspection and the goods being returned 'as new' in re-sellable condition. You will be liable for any damage to the goods, however caused, and we will withhold the amount that we deem necessary from the potential refund amount.

Delivery and Risk

The Safety Station website only caters for sales with deliveries within the United Kingdom mainland however this is not an exclusive list of our delivery potential it is just the delivery remit allocated to the specified cost on the website. We will happily deliver to non UK Mainland at additional cost and it is requested that you contact us directly. Delivery will be to your invoice address unless specifically requested otherwise. A charge will be made for delivery regardless of size, value or location unless prior agreed in writing, the delivery charge will be notified at point of sale and we reserve the right to alter the charge if so required and you will be notified of the changes to the charge prior to dispatch.

Delivery will be made by the most suitable means deemed by us at the time of sale. The responsibility for the goods is transferred to the purchaser once the goods have been dispatched from our or our supplier's premises and it as this time the full financial liability for the order is transferred to the purchaser. All delivery shortages, non deliveries, claims, damages and discrepancies must be notified to us within 7 days of delivery in order for us to make a consideration of replacement. We will not be liable for any loss or damage to the products returned unless we agree to repair or replace them under warranty.

We will not be held liable for any damage to property or consequential loss, e.g. loss of product, loss of profit, loss of goods which arises by defects or delays in delivery of products irrespective of the cause, including faulty manufacture.

Disclaimers

We reserve the right to change, modify, remove or substitute without notice any information shown or advertised by us anywhere on any medium. Prices and availability are subject to change without notice to the extent permitted by law. We will not be liable for direct, indirect or consequential loss or damage arising out of the services or products sold from or referred to in this web site, or from the use or inability to use any of the information contained or accessed from this web site.

We will not be liable for any loss or damage related to any business, such as loss of data, loss of profits, business interruption or any other indirect, special or consequential loss or damage caused. We will not be liable for any delay or failure to perform our respective obligations under this contract due to circumstances beyond our control. If any of these terms or disclaimers shall be unlawful, void or for any reason unenforceable then that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions.

Suitability of Products

The products that we supply meet minimum levels of the relevant approvals for sale in Europe and the UK and we do endeavour to sell products that meet a very broad range of standards in Europe and the UK but we cant guarantee that this will be sufficient for your insurer and it is therefore that it is your responsibility to check the requirements of your insurer prior to purchase and we will not be held liable for any cost or otherwise resulting from your failure to comply with your insurers requirements.
The information on this site is free of charge for users and for this reason we make no representation that any product or service referred to in this web site will be appropriate for your use. It is the responsibility of the purchaser to make sure that they have taken sufficient advice or have sufficient know-how to ensure that the products you purchase are fit for your purpose. The Purchaser's dealings with such persons found via this web site are between the Purchaser and such persons, and we will not be liable for any loss or damage arising out of such dealings.

Warranty

Our warranty does not affect your statutory rights as a consumer.

Our products are guaranteed for a period individually stated from the date of delivery against defects in design, materials or workmanship and not against above normal or extraordinary wear and tare. If there are any such defects then we shall, at our option and expense, repair or replace the defective products free of charge provided that the products have not become defective for any other reason not mentioned above, such as accidental damage or a failure to use or install them correctly.

Guarantee on fire extinguishers is a manufacturers guarantee as specified from the supply date provided that you have had the equipment serviced by an approved member of IFEDA, BAFE or The British Fire Consortium to BS5306 . Please note that service items such as safety pins, O rings, seals, refills et cetera are excluded from this guarantee. The guarantee is provided by the manufacturer thus it will the manufacturers ultimate and professional decision whether the product should be replaced, repaired at their expense or not.

Terms of Payment & Pricing

The price payable by you is the list price plus VAT and less any agreed discount in writing at the time of sale or dispatch. We are fully entitled to alter any prices and discounts without notice prior to dispatch. Unless otherwise agreed in writing, the prices do not include VAT, insurance, carriage, packaging and administration costs which, where applicable will be added to the total amount due.
Payment of the Total Contract Price (plus VAT) is to be made with your order either by Credit Card or Cheque, accounts are available to large users, trade customers and government department subject to status. Your order will be confirmed by e-mail and the goods dispatched once your preferred payment has been accepted and cleared. in full is made (a part of a month being treated as a full month for the purpose of calculating interest).

All transactions are to be paid for in UK Sterling currency.

Transfer of Ownership

We remain the owner of the products until we receive full payment of the full price invoiced after at which time the ownership passes to the Purchaser. We are at anytime entitled to require you to return the products to us and if the Purchaser defaults on either the return or payment we may enter your premises where the products are stored and repossess them. The Purchaser is not entitled to pledge or charge in any way the products which remain owned by us, and if you do so all monies owing by you to us shall immediately become due and payable without prejudice to any other right or remedy.

Whole Agreement

No alteration or variation of the agreement shall have effect unless in writing and signed by the Purchaser and a Director or the Company Secretary on behalf of The Colour Red Limited.

Force Majeure

We shall make every effort to comply with our obligations under the terms of the Contract but we cannot be held responsible for circumstances which are beyond our reasonable control. If we are unable to perform our obligations under the contract by reason of any such force majeure event, then we shall give you notice in writing of the circumstances giving rise to it, and after a period of three (3) months either of us shall have the right to terminate the contract by giving notice in writing to the other without any liability except for sums accrued under the Contract.

Termination – Amendments - Cancellations

If either of us shall be in breach of our obligations under the contract then the other may by seven (7) days notice in writing terminate this contract.

We shall be entitled to terminate the contract immediately without notice if you enter into liquidation, receivership, administrative receivership or you make any arrangement or composition with creditors, or if you are an individual, any petition or receiving order in bankruptcy shall be presented or made against you.

If either of us shall terminate the contract in accordance with its terms then such termination shall be without prejudice to our respective accrued rights and obligations.

The Contract may be amended or cancelled by you in accordance with the provisions set out in these conditions or, with our written approval, or upon terms which indemnify us against any losses including loss of profit or additional costs resulting there from.

Governing Law

This Contract shall be governed, construed and shall take effect in accordance with the laws of England, and shall be subject to the non-exclusive jurisdiction of the English Courts.
Statutory Rights

Nothing in this Agreement shall affect the statutory rights of a consumer.
